Question:

How is Lawyers Company Service different from the 50-state services?

Answer:

Question:

Can LCS help me with legal or tax questions?

Answer:

Our staff members are not lawyers or accountants. As such, they do not provide legal or tax advice. However, if you are not working with an attorney, our staff can provide you with information about lawyers who are knowledgeable in corporate law. The same is true for receiving tax advice from accountants.

Question:

How soon will I have my LLC or corporation papers?

Answer:

Generally, the total process between receiving your order and completing and sending your document binder will take 10 days to two weeks if you select Expedited Processing. Otherwise, the process would take between two and three weeks. If you or a third party will serve as your registered agent as opposed to LCS (see Question below), those time frames would begin when we receive the registered agent Statement.


Question:

Can my New Mexico corporation or LLC do business in other states?

Answer:

Yes. You may have to register and qualify the NM entity to do business in the other state, a process similar to organizing the entity here in New Mexico. You may also be subject to taxes in the foreign, including state corporate franchise tax and income tax, if applicable. There can be other differences in the treatment of business entities doing business in other states; See Business Entities.


Question:

What does the registered agent do?

Answer:

The registered agent is the official contact person for the corporation or LLC. The office of the registered agent (which can be the same as the principal office of the business) is called the registered office. Every NM corporation and LLC must have a registered agent and office. See "Registered Agent" in our Glossary for further explanation.

If you select LCS as your registered agent, we will mail all such papers to you promptly, generally by the next business day after we receive them. We can also make arrangements to forward any lawsuit papers to your attorney.

If you or a third party will serve as registered agent, you or that person will need to sign a Statement of Acceptance and mail or deliver it to LCS. That turnaround time will be in addition to the time required for us to process your order.


Question:

Should I organize my business in another state, such as Nevada or Delaware?

Answer:

Certain other states, such as Nevada and Delaware do offer certain corporate or LLC law and tax advantages.

But those advantages come at a steep price, compared with New Mexico, and they require ongoing filings and expense, at least for LLCs. And certain lawsuits brought by or against the company would have to be litigated in the other state.

Also note that if your out of state LLC or corporation is going to do business in New Mexico, it will have to qualify to do business in NM. This involves paperwork and costs on a par with forming a NM-based entity.


Question:

Does LCS get my federal tax ID number or prepare an S corporation election?

Answer:

Most of our customers handle these items themselves or (preferably) have their accountants do that. The forms are relatively straightforward and the federal tax ID can be obtained online. Occasionally, a customer will want us to provide one or both of these services and there is a place to indicate that preference in the LLC and Corporation data form. Bear in mind that the customer will have to supply us with the same information that they would enter in the tax forms themselves.
